   By using our platform, you agree to comply with and be legally bound by these terms in their entirety. If you do not agree, please refrain from using our platform. By entering into this agreement, you acknowledge receipt of Bonus Innovation Technology Limited Privacy Statement and agree to be bound by it.

2. Eligibility

   You may only create an account if you are at least 18 years or of legal age in the jurisdiction where you reside. By creating an account and using our platform, you represent and warrant that you meet these requirements. Bonuspay reserves the right to assess or re-assess at any time your eligibility to maintain an Account and utilise the platform.

3. Account Registration and Security
   • To access our platform, users are required to sign up by creating an account and filling in the required details in accordance with the requirements of the platform (a “User Account”).
   • Users are mandated to provide accurate, complete, and current information when creating an account on our platform. We will not be liable for any wrong information, detail or omission on the information/details provided by you.
   • By creating a User Account, you authorize Bonuspay to use your information to make enquiries or to verify your identity either directly or through third parties, in order to protect our platform against fraud, money laundering or illegal activities. We reserve the right to terminate your account if we are not satisfied with the outcome of the enquiries.
   • You are responsible for maintaining confidentiality and safeguarding your account credentials. Do not share your log in details or password or other security related information or permit access to your account to third parties. You must notify us immediately if you suspect any unauthorized access to your account. Bons Tech will not be responsible for any breach of your account as a result of your failure to protect your account credentials.
   • Users are only entitled to one User Account. Multiple accounts are prohibited and will be taken down automatically once flagged.
   • For clarity, the ability to create an Account and access the Platform does not imply that your activities on the Platform are lawful under the regulations or directives governing your jurisdiction. By accessing the Platform and using the services we provide, you acknowledge and understand that laws governing financial instruments, including digital asset or currency may differ from one jurisdiction to another. It is solely your responsibility to ensure full compliance with the applicable laws, regulations, or directives relevant to your country of residence when using the Platform and its services.
4. Use of Services:

   The purpose of our Platform and Service guidelines is to ensure a safe and enjoyable environment for all users. By accessing our Platform or Services, you agree and confirm that you will:

   • Always comply with Nigerian laws.
   • Avoid using any unauthorized automated tools, such as robots, spiders, or scrapers, to access the Platform, Services, or content.
   • Not attempt to gain unauthorized access to any part of the Platform or Services, including accessing an account other than your own.
   • Ensure that all the information you provide is accurate, complete, and up to date, including your contact details.
   • Not use the Platform or Services to engage in prohibited or illegal activities, such as:
     • Financing terrorism;
     • Money laundering;
     • Illegal gambling;
     • Distributing or financing drugs and related paraphernalia;
     • Malicious hacking.
   • Avoid using the Platform or Services for wire transfer money orders or as a means to transfer funds between bank accounts.
   • Not use the Platform for any actions that are illegal in Nigeria or in your place of residence or location.
   • Avoid using the Platform or Services for commercial activities that compete with the Platform or could harm our business interests in any way.
   • Only use the Platform and Services to purchase digital currency for yourself, not on behalf of others.
   • Refrain from using repetitive or systematic methods designed to gather large amounts of data from the Platform or place excessive demands on its infrastructure.
   • Not engage in any activities that may interfere with or disrupt the functionality of the Platform, Services, or the experience of other users.

We encourage users to report any issues or vulnerabilities they encounter with our Platform or Services by submitting a support request through our website.

5. Buying and Selling
   • You agree that all transactions on our platform are final, and it is impossible to reverse it.
   • You must exercise extra caution to ensure that you carefully review and confirm all transaction details before proceeding with any buy or sell orders. Bonuspay will not be liable for or responsible for any loss of Digital Currency resulting from a failure to input the correct address.
   • Prices and transaction fees may change at any time without notice. You acknowledge that you are aware of the volatile nature of the digital currency market and changes may occur due to exchange rates and time of the transaction. Users are responsible for checking the most recent prices and fees before initiating transactions.
   • We reserve the right to delay, suspend or cancel a transaction if:
     • We believe the transaction may include, enable or be linked to illegal or fraudulent activity.
     • There are technical reasons that prevent us from completing the transaction.
     • We receive a request from a law enforcement or government agency to do so

   We will notify you accordingly if we intend to delay, suspend, or cancel your transactions based on the outcome of our investigations.

6. Buying and Selling
   • Our platform offers swapping services "as-is" without any warranty.
   • Bonus Innovation Technology will not be responsible for any losses or issues arising during or after the swap process.
   • Users are responsible for ensuring the compatibility of any swaps with blockchain protocols and compliance with any applicable technical requirements. We do not provide financial instruction, guidelines, assistance or advice in relation to services provided by our Platform.
7. Restrictions and Terminations:

   1.1. We reserve the right to suspend, limit, restrict, or deactivate your access to the Platform and Services, including your User Account, under various circumstances:

   • If you attempt to gain unauthorised access to the Platform or another member's User Account.
   • If there are technical or operational difficulties.
   • If your conduct, whether related to the Platform or not, poses risks to the Platform, the Services, or other users.
   • If you use or attempt to use the Platform for illegal or criminal activities.
   • If your use of the Platform is subject to any pending investigation, litigation, or government proceeding.
   • If you fail to pay or fraudulently pay for any transactions.
   • If you make use of addresses that have been exposed to scams or continue to do so even after it has been brought to your attention.
   • In case of breach of the Terms. If your behaviour is deemed unacceptable at our discretion.
   • If you fail to remedy a breach of the Terms within 30 days' written notice from us.
   • If your conduct may bring us into disrepute or adversely affect our reputation or image.
   • Upon receiving a valid request from a law enforcement or government agency.

   1.2. We reserve the right to suspend, limit, restrict, or deactivate your access to the Platform and Services, including your User Account, under various circumstances:

   • If we cease to conduct business or undergo an insolvency event as defined by applicable law.
   • If any insolvency procedure under the Companies and Allied Matters Act, 2020 is instituted or occurs.

12. Limitation of Liability:

This limitation of liability applies to, but is not limited to, any loss or damage resulting from:

    • Any corruption or loss of data or other information.
    • Any interruption, suspension, or discontinuation of the Platform or Services.
    • Any delays, inaccuracies, or discrepancies in the time recorded on our systems and the time displayed on your device, as the date and time visible when using the Services are based on the settings of your computer or mobile device.

To the extent permitted by law, in no event will Bonuspay be liable for any special, indirect, incidental, punitive, exemplary, aggravated, economic or consequential damages, howsoever caused (except in the event of negligence, wilful misconduct, and mis-information on the part of Bonuspay, its employees or agents or resulting from any third party) which arise out of, or in connection with any breach of contract (being these Terms), equity, common law, statutory duty or by reason of any representation, implied warranty or other condition.

13. Indemnity:

    1.1.1 To the fullest extent permitted by law, you agree to indemnify, defend, and hold us harmless from and against any and all losses, damages, liabilities, penalties, fines, expenses (including reasonable legal and professional fees), and costs that arise out of or relate to:

    • Your use of the Platform and/or Services which extends to your misuse of the platform.
    • Any material breach of these Terms or our Privacy Policy caused by you;
    • Any information you provide to us through the Platform; or
    • Any damage you cause to the Platform.

    This indemnity includes, without limitation, any liability related to intellectual property rights violations and breaches of privacy.

14. Liability Cap:
    If Bonuspay is found to be liable for any loss, cost, damage, or expense arising out of or in connection with your use of the Platform, the Services, or these Terms, our maximum aggregate liability to you will be limited to no more than two (2) times the total value of the transaction that gave rise to the claim.
15. Accuracy of Information
    Bonuspay endeavors to verify the accuracy of any information displayed, supplied, passing through or originating from the Services, but such information may not always be accurate or current. Accordingly, you should independently verify all information before relying on it, and any decisions taken based upon such information are your sole responsibility. We make no representation or warranty of any kind, express or implied, statutory or otherwise, regarding the contents of the Services, information and functions made accessible through the Services, any hyperlinks to third party websites, or the security associated with the transmission of information through the Services, or any website linked to the Services.
16. Feedback
    • Bonuspay strives to improve its Services to address feedback. If you have ideas or suggestions regarding improvements or additions to the Services, we would like to hear them; however, any submission shall be subject to this User Agreement.

    • By submitting Work, you are waiving any moral rights to the fullest extent permitted under law that you may have in the Work and are representing and warranting to Bonuspay that the Work originated with you, no one else has any rights in the Work, and that Bonuspay is free of any royalty to implement the Work and to use the related material if so desired, as provided or modified by Bonuspay, without obtaining permission or license from any third party We may sub-license in any way all Work and material you have submitted to Bonuspay.
17. Cancellation and Refunds.
    • You acknowledge and agree that any Order that is marked as executed or completed cannot be canceled, changed or reversed.
    • Unsuccessful Payments. If your payment method is declined, whether due to insufficient funds or deemed unsuccessful for any other reason, Bonuspay may: cancel the Order; fulfill a portion of the Order; or debit alternative payment methods provided by you, in the amount necessary to complete a pending Order. If any fees apply on failed payment attempts in the course of executing your Order, and such failure is reasonably attributed to an error by you, such fees will be deducted from either: the amount of fiat that is transferred to you if the Order is subsequently executed; or the amount of cryptocurrency that is returned to you if the Sale Order is declined and the cryptocurrency is returned.
    • Refund Policy. Subject to applicable law, Bonuspay does not provide any refunds on executed or completed Orders.
    • Third Party Fees. You acknowledge and agree that fees incurred via third parties (e.g. your bank, for certain transfers such as wire transfers; or our service providers, for example for certain processing fees) may not be capable of being refunded, either in whole or in part, by us in the case of a cancellation or refund under this clause.
18. Third Party Services and Content
    In using the Services, you may view content or services provided by third parties, including links to web pages and services of such parties (“Third Party Content”). We do not control, endorse or adopt any Third-Party Content and have no responsibility for Third Party Content, including, without limitation, material that may be misleading, incomplete, erroneous, offensive, indecent or otherwise objectionable in your jurisdiction. In addition, your dealings or correspondence with such third parties are solely between you and the third party. We are not responsible or liable for any loss or damage of any sort incurred as a result of any such dealings and your use of Third-Party Content is at your own risk.

    • 1.1 These terms will be governed by and construed in accordance with the laws of Nigeria, without regard to conflict of law principles.

    • 1.3 Any dispute arising from under this agreement shall be settled by a court of competent jurisdiction in Nigeria.
